Venture Debt

Venture debt is a form of financing tailored for early growth-stage companies that are typically backed by venture capital. It provides companies with access to an additional source of capital with minimal dilution to existing shareholders, allowing them to extend their runway, invest in growth, fund working capital needs, capital expenditure or mergers & acquisitions.

Unlike traditional bank loans which typically require substantial collateral and a track record of profitability, venture debt is typically more flexible and may include warrants or equity-like options as part of the terms. This financing solution is commonly used by companies that have strong growth potential but are not yet profitable and can position them to raise future rounds of fundraising at higher valuations.

Key Features of Venture Debt

1. Complement to Venture Capital

Venture debt is usually offered alongside or after a round of equity financing, leveraging the company’s growth potential and the confidence shown by venture capitalists. It is not typically used as a replacement for equity funding but rather as a supplement. Our ticket size typically ranges from US$3 million to US$5 million per investment, and up to 30% of the recent equity round.

2. Flexible Use of Funds

Venture debt can be used for various purposes, including:
• Upsizing the funds raised for a company, unlocking more capital for growth
• Funding growth initiatives like hiring, R&D, marketing, and working capital.
• Capital expenditure eg. inventory, equipment or infrastructure)
• Leveraged / M&A Financing

3. Interest and Warrants

Interest rate typically ranges between 10% to 15% per annum. To compensate for the higher risk, lenders often require warrants (options to purchase equity at a pre-determined price) in addition to charging interest. This provides the lender with an equity upside on its investment in the event of a successful exit (eg. IPO or trade sale/m&a).

4. Repayment

Venture debt typically includes principal repayment over a specified period, with interest charged on the borrowed amount. The repayment terms are usually shorter than traditional loans, often between 1 to 3 years.
